By accessing searchnonprofit.com or engaging our Services, you agree to these Terms. Search Nonprofit (‘SNP’, ‘we’, ‘us’) is a subsidiary of Verta Marketing Inc., headquartered in Toronto, Ontario. These Terms govern the relationship between SNP and any client organization (‘you’).
SNP provides digital marketing services to registered nonprofits and charities, including:
Specific deliverables, timelines, and fees are set out in a separate proposal or service agreement, which takes precedence over these Terms in the event of conflict.
Services are available to organizations with valid charitable or nonprofit status. By engaging SNP, you confirm your organization meets applicable eligibility requirements, including Google’s Ad Grant program policies. SNP does not guarantee Google Ad Grant approval or continued access; eligibility is determined solely by Google LLC.
You agree to provide accurate information, grant SNP access to required accounts and platforms, and notify us promptly of any changes to your organization’s status. SNP is not liable for delays or adverse outcomes resulting from your failure to cooperate.
Fees are set out in the applicable service agreement. Invoices are due within 30 days. Payments are processed via Stripe or such other processors as SNP designates. Work already performed is non-refundable. Outstanding balances on termination are immediately due.
Your materials remain your property. Upon full payment, SNP assigns you rights to final deliverables created specifically for you. SNP retains all rights to its tools, templates, methodologies, and background intellectual property.
Both parties agree to keep the other’s non-public information confidential during the engagement and for two (2) years following termination, except as required by law or shared with affiliates (including Verta Marketing Inc.) bound by equivalent obligations.
SNP collects and handles personal information in accordance with its Privacy Policy and applicable Canadian privacy law (PIPEDA). By using the Website and Services, you consent to such collection and use. SNP does not knowingly collect information from individuals under 18.
Services are provided with reasonable skill and care but without guarantee of specific results. SNP’s total liability shall not exceed fees paid in the three (3) months preceding the claim. SNP is not liable for indirect, incidental, or consequential damages. Nothing herein limits liability for fraud or gross negligence.
Either party may terminate with 30 days’ written notice. Immediate termination is available for material breach not remedied within 14 days of notice. On termination, outstanding fees for work performed become due. Sections 6, 7, 9, and 12 survive termination.
SNP may update these Terms at any time by posting a revised version on the Website. Continued use of the Website or Services after posting constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
